Full License Agreement Terms

 
1. Grant of License

1.1. License Grant: The Licensor hereby grants the Purchaser an exclusive and transferrable license to use the item acquired ("Template, Assets, and Full Rights to the Composition") in accordance with the terms and conditions set forth in this Agreement.

1.2. Ownership Transfer: Upon the purchase of a Full License, the Purchaser shall be considered the new owner of the acquired "Template, Assets, and Full Rights to the Composition".

1.3. Exclusivity: Upon the purchase of a Full License, the Template will be automatically removed from the We Make Dance Music (WMDM) network and its affiliates, rendering it no longer available for sale.

1.4. Documentation: WMDM shall provide the Purchaser with a detailed invoice that includes the Full License terms, effectively releasing the product from all possible claims.

 
2. Rights and Permissions

The Purchaser is granted the following rights and permissions upon purchasing a Full License:

2.1. Transferability: The right to transfer the rights of the "Template, Assets and Full Rights to the Composition" to another party.

2.2. Commercial Use: The right to sell and/or resell the "Template, Assets and Full Rights to the Composition".

2.3. Copyright Assignment: The right to assign their own copyright(s) to the "Template, Assets and Full Rights to the Composition".

2.4. Modification Rights: The right to change the title, remix, sample, or otherwise modify the "Template, Assets and Full Rights to the Composition".

2.5. Distribution: The right to release the "Template, Assets and Full Rights to the Composition" as-is on a music label.

2.6. Licensing: The right to license, sub-license, or redistribute the Template, or offer to do anything with the "Template, Assets and Full Rights to the Composition".

2.7. Reproduction: The right to reproduce the Template as-is or as part of another work.

 
3. Limitations

3.1. Intellectual Property: This Full License does not grant the Purchaser the right to claim ownership of the original Template design or any associated intellectual property rights of WMDM.

3.2. Legal Compliance: The Purchaser may not use the Template in any manner that violates applicable laws or infringes upon the rights of third parties.

 
4. Termination

4.1. Rights Revocation: WMDM reserves the right to terminate this Exclusive Full License Agreement and revoke the Purchaser's rights if any violation of the terms and conditions contained herein is discovered.

4.2. Obligations Upon Termination: Upon termination, the Purchaser shall immediately cease all use of the Template and delete or destroy all copies of the Template in their possession.

 
5. Governing Law

5.1. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.

 
6. Entire Agreement

6.1. Superseding Effect: This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, understandings, or representations, whether oral or written.

 
7. Modifications

7.1. Amendment Procedure: This Agreement may only be modified in writing and signed by both Parties.

 
Acknowledgment: By purchasing a Full License, the Purchaser acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Full License Agreement.
